DISPATCH SERVICE AGREEMENT
This Dispatch Service Agreement is entered into this day of , 2012, between the following parties whose names and addresses are set forth below:
ABC Trucking
Main Street
Main City, OK 33333
and
TruckingSuccess.com
7054 N. 28th Drive
Phoenix, AZ 85051
TruckingSuccess.com is a subsidiary of VacuMed, Incorporated, an Arizona corporation whose address is 7054 N. 28th Drive, Phoenix, AZ 85051.
The above parties hereby agree that upon the commencement date of this Dispatch Service Agreement both parties are bound by the terms of this Agreement. This Agreement shall not be changed, modified, or rescinded except in writing and any attempt at oral modification of this agreement shall be void.
The purposes, terms and conditions of this Dispatch Service Agreement are as follows:
PURPOSE
TruckingSuccess.com will provide a transportation dispatch service to ABC Trucking during the duration of this Agreement. The scope of this service is limited to finding, providing and dispatching loads on behalf of ABC Trucking.
TERMS
ABC Trucking will provide in a timely manner to TruckingSuccess.com the following information needed for dispatch:
Date and time when truck will be available for dispatch.
Location of truck to be dispatched.
Preferred destination for truck to be dispatched to.
Alternative destination for truck to be dispatched to.
Estimate of expected freight rate/revenue of requested load.
Other information pertinent to dispatching.
TruckingSuccess.com will locate loads based on the aforementioned criteria on behalf of ABC Trucking and will provide the load information to ABC Trucking.
ABC Trucking is not obligated to accept the load(s) located by TruckingSuccess.com.
However, once ABC Trucking has accepted the load(s), ABC Trucking will assume all responsibilities for the load(s), including picking up and delivering the dispatched load(s). ABC Trucking will also carry liability insurance in the amount of 1 million dollars and cargo insurance in the amount of $100,000.00.
ABC Trucking authorizes TruckingSuccess.com to sign contracts with brokers and shippers on behalf of ABC Trucking.
ABC Trucking agrees to honor all non-competitive clauses as set forth in the transportation contracts and agreements of brokers and shippers which TruckingSuccess.com signs on behalf of ABC Trucking.
CONDITIONS
Monthly Service Plan: TruckingSuccess.com charges a flat fee of $450.00 per month. The administrative handling fee is due and payable by credit card at the time ABC Trucking signs up on our website www.truckingsuccess.net.
The term of this Agreement is from month to month unless canceled. Either party can cancel this Agreement at any time.
The parties understand and agree that:

TruckingSuccess.com is not a freight broker and does not act as one.
•
TruckingSuccess.com does not receive commissions from shippers or brokers who originate the loads.
•
TruckingSuccess.com has no financial interest in the loads dispatched and is not responsible for the settlement of loads dispatched.
•
ABC Trucking is solely and exclusively responsible for billing and collecting payments for the dispatched loads that ABC Trucking accepted and agreed to deliver. Other arrangements can be negotiated.
